Backstage Sidekick is a free helper for people who moderate live shows on Whatnot. These terms cover Sidekick specifically — the Chrome side panel and the iOS app. They work alongside the suite-wide Backstage Terms of Service and the Sidekick Privacy Policy. Where this page and the suite-wide terms differ, this page wins for Sidekick.

The short version: Sidekick is free, there is no account, and everything it tracks about your shows stays on your own device. It is a checklist, not a record and not an accounting tool. Whatnot is always the source of truth for money.

1. Accepting these terms

You accept these terms when you tick the box in the app. If you don't accept them, Sidekick won't open — and that's fine, nothing is lost. If we make a meaningful change, we'll ask you again rather than assume.

2. What Sidekick is

Sidekick sits beside a live Whatnot show and keeps track of the jobs a moderator does during it: who sponsored the chat, who won a giveaway, who tipped, who raided in, and who answered a call-out in chat. Each one gets a checkbox so you can tick it off and stop carrying it in your head.

Backstage Sidekick is an independent tool. It is not made by, affiliated with, endorsed by, or sponsored by Whatnot. Whatnot's own terms and policies govern everything you do on Whatnot, and nothing here changes them.

3. Free, and no account

Sidekick costs nothing and there's nothing to subscribe to. There is no account and no password. We ask for an email address so we can send setup tips and news about what we're building; you can ask us to delete it at any time. We also count how many shows you work and how many jobs came up in them — never the seller, never a buyer, never an amount — so we can tell whether Sidekick is being used. The Privacy Policy sets out exactly what that does and does not include. Some features may be reserved for paying Backstage customers, and we'll say so plainly where that applies.

4. What you're responsible for

• Having permission to moderate. Only use Sidekick on shows you are actually helping to run.
• Whatnot's rules. Sidekick helps you do a moderator's job. It does not give you permission to do anything Whatnot doesn't already allow, and using it doesn't excuse breaking their rules.
• What you send. Sidekick can drop a message into the chat box for you, but you choose it and you send it. What you say in a show is yours.
• Other people's information. Sidekick records public Whatnot handles so you can run the show — the sponsor who is owed a shout-out, the winner who needs telling. Use them for that. Don't build lists, scrape, spam, harass, or pass them on.

5. Money — Whatnot is always the source of truth

Sidekick does not handle money. It does not take payments, hold funds, move money, calculate fees, or work out what anyone is owed. It is a checklist for a moderator, not an accounting tool and not a bookkeeping record.

Any figure you ever see in Sidekick is read off a live show while that show is happening. Live shows are messy, platforms change how they work without warning, and things get missed. Sidekick can be wrong, incomplete, late, or all three.

Whatnot is the source of truth for money. Always. If Sidekick and Whatnot disagree about a sale, a tip, a payout, a total, or anything else with a currency symbol on it, Whatnot is right and Sidekick is wrong. Check Whatnot before you pay anyone, invoice anyone, chase anyone, or make any decision that costs money.

Every financial decision you make is yours. To the maximum extent permitted by law, we are not responsible for money paid, not paid, overpaid, underpaid, delayed, refunded, or disputed as a result of anything you saw — or did not see — in Sidekick. That includes a sponsor who never got their shout-out, a giveaway winner who was never told, a tip or raid that was missed, a name that was captured wrongly, or a number that was simply incorrect.

The same applies to anything you build on top of it: payouts to consignors, splits with a co-host, promises made to a sponsor, or your own bookkeeping. Reconcile against Whatnot.

6. Disclaimer of warranties

Sidekick is provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including: implied warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy, reliability, or completeness of Sidekick or any data it produces; uninterrupted or error-free operation; and compatibility with any third-party platform, browser, operating system, or hardware. We do not warrant that Sidekick will meet your requirements, that it will operate without interruption or error, or that defects will be corrected. Some jurisdictions don't allow the exclusion of implied warranties, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, in no event shall Slow Arcs, LLC or its owners, operators, employees, contractors, or affiliates be liable for any: indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, lost revenue, lost sales, lost data, lost business opportunities, or business interruption; loss of goodwill or reputational harm; damages resulting from bugs, glitches, missed captures, missed shout-outs, or incorrect names or amounts; or damages resulting from third-party platforms, hardware, or services, including Whatnot. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we've been advised that such damages were possible.

Maximum liability: our total aggregate liability for all claims arising out of or relating to Sidekick will not exceed the amount you have paid us for Sidekick. Sidekick is free, so that amount is zero.

Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

8. Stopping

Remove the extension or delete the app and it's over. Everything Sidekick kept was on your own device and goes with it. If you'd like the email address you gave us deleted as well, ask and we'll delete it. We may also stop offering Sidekick, or change what it does, at any time.

9. Disputes, arbitration, and governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Any dispute arising out of or relating to Sidekick will be resolved by binding individual arbitration, rather than in court — except that either party may bring an individual claim in small claims court. Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA), seated in Texas unless both parties agree otherwise. To the extent arbitration doesn't apply, you agree to the exclusive jurisdiction of the state and federal courts located in Bexar County, Texas.

You and Slow Arcs, LLC each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class or representative action.

10. Changes to these terms

We may update these terms. When we do, we'll update the "Last updated" date above. For meaningful changes we'll ask you to accept again inside the app rather than relying on you noticing this page.
